1. Introduction

2. Scope of Agreement

2.1 These Terms of Use apply to the use of this website and to any services provided by Act & Align Advisor Co., Ltd. (“the Company”). This includes advisory, consulting, and corporate services related to company incorporation, BOI promotion support, visa advisory, and other business support services that may be requested by the client.

Additional services requested by clients may be provided subject to separate agreements or engagement terms between the parties.

2.2 To the extent permitted under applicable laws and regulations, clients may be required to provide necessary documentation, information, or approvals to allow the Company to perform the requested services effectively.

Clients agree to cooperate in a timely manner and provide accurate information required for the provision of services.

2.3 The Company’s affiliates, directors, officers, employees, and authorized representatives involved in providing the services may rely on these Terms of Use when performing services on behalf of the Company.

Where applicable, such persons may be considered third-party beneficiaries of these terms solely for the purpose of performing services related to the engagement.

3. Scope of Services

3.1 Professional Services

Act And Align Advisor Co., Ltd. will provide professional advisory and support services using all reasonable professional efforts, resources, and tools necessary to perform the agreed services in accordance with generally accepted professional standards.

3.2 Nature of Services

Our services may include, but are not limited to:

• Business registration and company incorporation in Thailand

• Visa and work permit advisory and coordination

• Accounting and tax compliance support

• Business licensing and regulatory advisory

• BOI promotion and foreign business advisory

• General business consulting related to operating in Thailand

The specific scope, deliverables, timelines, and fees for each engagement will be defined in a separate proposal, service agreement, or engagement confirmation.

3.3 Advisory Capacity

To the extent permitted under applicable laws and regulations, Act And Align Advisor Co., Ltd. may act as your advisor, coordinator, or representative in connection with the services provided.

However, we do not act as legal counsel unless explicitly agreed in writing.

3.4 Efforts Will Be Applied, Outcomes Are Not Assured

While we will exercise professional diligence and reasonable efforts to support the successful completion of services, the Company does not guarantee specific outcomes, approvals, or decisions made by government authorities or third parties.

Government approvals, processing timelines, and regulatory decisions remain solely under the authority of the relevant government agencies.

3.5 Client Cooperation

The client agrees to provide accurate, complete, and timely information and documentation required for the performance of the services. Delays or inaccuracies in information provided by the client may affect timelines or outcomes of the services.

4.Client Responsibilities

4.1 Accurate Information

The Client agrees to provide accurate, complete, and truthful information, documents, and instructions necessary for the performance of the services. The Company shall rely on the information provided by the Client and shall not be responsible for any consequences resulting from inaccurate, incomplete, or misleading information.

4.2 Timely Cooperation

The Client agrees to cooperate with Act And Align Advisor Co., Ltd. and provide all requested documentation, confirmations, and responses within a reasonable timeframe in order to avoid delays in the service process.

Any delays caused by the Client’s failure to provide required information or documentation may affect the estimated timeline for service delivery.

4.3 Compliance with Applicable Laws

The Client agrees that all activities, transactions, and business operations related to the services provided shall comply with the laws and regulations of the Kingdom of Thailand and any other applicable jurisdictions.

The Company reserves the right to refuse or discontinue services if the requested activities are deemed unlawful, unethical, or in violation of applicable regulations.

4.4 Government Requirements

The Client acknowledges that many services involve applications, approvals, or registrations with government authorities. The Client agrees to comply with any requirements imposed by the relevant authorities, including but not limited to document submissions, interviews, verification procedures, or additional supporting information.

4.5 Responsibility for Final Decisions

All final decisions regarding business activities, legal structures, or regulatory applications remain the responsibility of the Client. Act And Align Advisor Co., Ltd. provides advisory and coordination services but does not assume responsibility for decisions made by the Client or third parties.

4.6 Client Communication

The Client agrees to maintain open and timely communication with the Company throughout the service engagement. Failure to respond to communications or requests for information may result in delays or suspension of services.

5. Fees and Payment Terms

5.1 Service Fees

Fees for services provided by Act And Align Advisor Co., Ltd. will be specified in the applicable service proposal, quotation, invoice, or service agreement provided to the Client.

Unless otherwise stated, all fees quoted are exclusive of government fees, third-party expenses, taxes, and disbursements, which may be charged separately where applicable.

5.2 Advance Payment

Unless otherwise agreed in writing, service fees must be paid in advance before the commencement of work. The Company reserves the right to delay or suspend services until the required payment has been received.

5.3 Government Fees and Third-Party Costs

Government fees, official filing fees, translation costs, courier charges, and other third-party expenses related to the services may be required during the process. These costs shall be borne by the Client unless explicitly stated otherwise.

5.4 Payment Terms

Invoices issued by the Company must be paid within the timeframe stated on the invoice. Failure to make payment within the specified period may result in the suspension or delay of services until the outstanding balance has been settled.

5.5 Taxes

Where applicable, Value Added Tax (VAT) or any other applicable taxes under Thai law may be added to the service fees.

5.6 Non-Refundable Fees

Due to the nature of professional advisory and administrative work involved in service preparation, service fees may be non-refundable once work has commenced, unless otherwise agreed in writing.

Government fees and third-party costs are non-refundable once paid or submitted to the relevant authorities.

5.7 Payment Methods

Payments may be made via bank transfer or other payment methods accepted by the Company, as specified in the invoice.

6. Confidentiality

6.1 Confidential Information

Act And Align Advisor Co., Ltd. acknowledges that during the course of providing services, the Company may receive confidential information from the Client, including but not limited to business plans, financial information, personal identification documents, corporate documents, and other sensitive materials.

6.2 Obligation of Confidentiality

The Company agrees to treat all confidential information provided by the Client with reasonable care and professional discretion, and will not disclose such information to any third party without the Client’s consent, except where disclosure is necessary for the purpose of performing the services.

6.3 Permitted Disclosure

Confidential information may be disclosed where required in connection with the performance of services, including submission to government authorities, regulatory agencies, financial institutions, or authorized third-party service providers involved in the process.

Disclosure may also occur where required by law, court order, or regulatory obligation.

6.4 Client Responsibility

The Client agrees that any information shared with the Company for the purpose of providing services may be used, processed, and submitted to relevant authorities or institutions where required to complete the engagement.

 7. Limitation of Liability

7.1 Professional Services

Act And Align Advisor Co., Ltd. will perform its services with reasonable professional care and diligence in accordance with industry standards.

7.2 No Guarantee of Government Approval

The Client acknowledges that certain services involve applications, approvals, or decisions made by government authorities or third parties. The Company does not guarantee approval, processing timelines, or outcomes, as such decisions remain solely under the authority of the relevant institutions.

7.3 Limitation of Liability

To the maximum extent permitted by applicable law, Act And Align Advisor Co., Ltd. shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of its services or reliance on information provided.

7.4 External Factors

The Company shall not be responsible for delays, rejections, or additional requirements imposed by government authorities, regulatory bodies, or other third parties beyond the Company’s control.

8. Termination of Services

8.1 Termination by Client

The Client may terminate the service engagement by providing written notice to the Company. Any work completed prior to the termination date shall remain payable.

8.2 Termination by the Company

Act And Align Advisor Co., Ltd. reserves the right to terminate or suspend services in the following circumstances:

• Failure of the Client to make required payments

• Failure to provide required documents or cooperation

• Provision of false, misleading, or incomplete information

• Requests for services that may violate applicable laws or regulations
  
  

8.3 Documents and Materials

Any documents or materials prepared by the Company may be released to the Client once all outstanding fees have been settled.

9. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Kingdom of Thailand.

Any dispute, claim, or matter arising out of or relating to the services provided by Act And Align Advisor Co., Ltd., or the use of this website, shall be subject to the exclusive jurisdiction of the courts of Thailand.
