Requirements for Set up a Thai Company
Foreign entrepreneurs and established companies face the following regulatory requirements when registering in Thailand.
Business address
A registered business address in Thailand is required by law. You can use our office address as your company's virtual or registered address to satisfy this requirement.
Director
At least one director is required. There are no nationality restrictions. Any foreign national can serve as a director of a Thai Company Limited.
Shareholders
A minimum of two shareholders are required at incorporation. We advise on the right structure and suggest approaches to achieve your desired ownership.
Registered capital
Capital requirements vary by business structure. Companies employing foreign staff who require a work permit must have a minimum of 2M THB in registered capital per foreign employee.
Corporate bank account
Required to operate your business in Thailand. We prepare all bank documents and coordinate directly with our dedicated bank officer to ensure a smooth account opening.
Tax & VAT registration
Corporate income tax registration is required at incorporation. VAT registration is mandatory once annual revenue exceeds 1.8M THB and can be registered voluntarily before that threshold.
Other licenses & permits
Depending on your industry, additional licenses may be required such as FDA registration, Foreign Business License (FBL), or e-commerce permits. We assess your requirements during the initial consultation and advise accordingly.

We provide a clear checklist of everything we need. Passports, shareholder details, business address, and more. Once received, we handle all data entry and client file setup. Everything is done remotely, at your convenience.

Preparation & filing
We prepare and submit all documentation
We draft your Memorandum of Association, Articles of Association, and all supporting documents, then submit your registration to the DBD on your behalf. Entirely remote. Your physical presence in Thailand is not required at this stage.

Once approved by the DBD, typically within 7 to 14 business days, we deliver your company certificate, affidavit, and all registration documents. Your company seal is ready, and VAT registration documents are prepared if applicable.

Common questions before getting started
Can a foreigner own 100% of a Thai Company Limited?
Yes, in certain structures. Under a standard Thai Company Limited, foreign ownership is generally capped at 49%. However, full foreign ownership (100%) is possible through BOI promotion, the Treaty of Amity (US nationals), or by registering an Export Company. During your consultation, we assess which route suits your business and goals.
Do I need to be in Thailand to register my company?
No. The entire registration process from consultation to DBD submission is handled remotely. The only step that requires your physical presence in Thailand is the bank account opening, which we coordinate and accompany you through.
How long does registration take?
Once all documents are submitted to the DBD, registration is typically confirmed within 7 to 14 business days. The overall timeline from initial consultation to registered company depends on how quickly documents are provided. We make this as straightforward as possible with a clear checklist from day one.
What is the minimum registered capital?
For a standard Thai Company Limited, there is no fixed minimum but 1M THB is the standard recommended amount. If your company will employ foreign staff who require a work permit and reside in Thailand, you will need a minimum of 2M THB in registered capital per foreign employee.
Can I use a virtual office as my registered address?
Yes. A registered business address is required by Thai law for company registration. We offer a virtual office service starting at 17,000 THB per year. Our address is DBD and Revenue Department compliant and can be used immediately upon sign-up.
